نحوه ی ابطال معاملات تصویب نشده در شرکت سهامی - sabticall - 18-11-2017
برای ابطال معاملات طبق ماده ی 129 لایحه قیود شرایط زیر نیاز است :
1-فقط شخصیت حقوقی شرکت می تواند درخواست ابطال را بدهد
2-تا سه سال از بستن معامله می توان ان را باطل کرد
3-برای باطل کردن معامله ابتدا باید در مجمع عمومی مطرح و پس از به تصویب رسیدن گزارش کامل ان را برای بازرسان شرکت ارسال کنند .در این مجمع مدیرانی که دارای نفع هستند نمی توانند رای دهند .
حال این سوال مطرح می شود چنانچه مدیر عامل ذی نفع باشد چگونه باید عمل کرد؟
*افرادی که یک پنجم مجموع سهام شرکت به نام انها است برای ابطال با نام و هزینه ی خود از طرف شرکت داد خواست ابطال را در دادگاه بیان کند.
*زمانیکه توسط مدیران از شرکت وام گرفته شود و شرکت تعهد کند که ان را پرداخت می کند ان معامله طبق ماده ی 129 باطل می شود .
*طبق ماده ی 132مدیران حقوقی می توانند از شرکت وام دریافت کنند که این مورد انتقاد بسیاری قرار گرفته زیرا از سود شرکت باید در جهت رسیدن به اهداف شرکت استفاده کرد.
*شرکتهای اعتباری و بانک ها که در قالب شرکت سهامی هستند و برای اداره از قوانین شرکتهای سهامی تبعیت می کنند طبق ماده ی 132 استثنا قائل شده است زیرا موضوع فعالیت انها دادن وام وتسهیلات می باشد که البته علاوه بر مدیران به اشخاص عادی نیز وام وتسهیلات پرداخت می کنند .
چنانچه مدیر عاملان شرکت معاملاتی را انجام دهند که طبق ان معاملات به شرکت ضرر بزنند خود مسئول جبران ان ضرر هستند و هرگز نباید چنین معاملاتی را انجام دهند .
البته طبق قوانین دادرسی مدنی هیچ گونه ضمانتی مبنی بر جلوگیری از این موضوع وجود
ندارد و در بعضی مواقع مدیران شرکت هایی را تاسیس می کنند که مشتریان شرکت را جذب می کنند که معاملاتی را با انها انجام دهند که انجام این معاملات باعث رقابت با شرکت می شود که به ضرر شرکت می باشد .
